Welcome to KLJ Trading.

The terms “we”, “us” and “our” refer to KLJ Trading. We operate this website and online store and offer industrial automation products, electrical components, machinery parts and related products through the website.

Our online store is hosted and powered by Shopify, which provides the e-commerce platform that enables us to offer our products and services to you.

These Terms of Service, together with our Privacy Policy, Return and Refund Policy, Shipping Policy and any other policies referred to on this website, govern your access to and use of the website and any purchases made through it.

By visiting the website, creating an account or placing an order, you agree to be bound by these Terms of Service.

If you do not agree with these Terms, you must not use the website or place an order.

Nothing in these Terms limits any mandatory rights granted to consumers under applicable Danish or European Union law.

2. Customers and Accounts

Our products may be purchased by both private consumers and business customers.

A “consumer” is a person purchasing primarily for purposes outside their trade, business or profession.

A “business customer” is a company, organisation or person purchasing wholly or mainly as part of their trade, business or professional activities.

Certain provisions of these Terms apply differently depending on whether the customer is acting as a consumer or as a business customer.

You must provide accurate, current and complete information when creating an account or placing an order.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account.

You must notify us promptly if you believe your account has been accessed or used without authorisation.

We reserve the right to suspend or close an account where we reasonably believe that it has been misused, compromised or used in violation of these Terms.

3. Product Information

We make reasonable efforts to ensure that product titles, descriptions, photographs, part numbers, specifications, condition information and prices are accurate.

Many of our products are used, discontinued, surplus-stock, new-old-stock or otherwise sourced from industrial environments. Products may therefore show signs of storage, handling, age or previous use as described and shown in the individual product listing.

Photographs normally show the actual product offered for sale unless the listing clearly states otherwise. Where multiple identical or substantially similar units are available, the delivered item may differ slightly in appearance from the item photographed.

Minor cosmetic differences that do not materially affect the described functionality or identity of the product are not necessarily considered defects.

Packaging may be worn, marked, opened, replaced or absent, particularly for used and new-old-stock products. The condition of any packaging forms part of the sale only where this is expressly stated in the product description.

Colours and appearance may vary slightly depending on lighting, photography, screen settings and the device used to view the website.

Product descriptions, availability and prices may be corrected or updated at any time. We may withdraw or discontinue a product without notice.

4. Compatibility and Technical Assessment

The customer is responsible for checking that a product’s manufacturer, model, part number, revision, voltage, firmware, software version, communication protocol, dimensions, connection type and other specifications are suitable for the customer’s intended application.

Compatibility must not be assumed solely because products have similar names, appearances or model families.

Information provided by KLJ Trading regarding compatibility or possible applications is general guidance unless we expressly confirm otherwise in writing.

Business customers are expected to possess, or obtain, the technical knowledge necessary to select, install, configure, test and operate industrial products safely and correctly.

Products must be installed and used by suitably qualified persons and in accordance with applicable legislation, safety requirements and manufacturer instructions.

KLJ Trading is not responsible for damage caused by incorrect selection, installation, wiring, programming, configuration, commissioning, maintenance or use, except where liability cannot legally be excluded.

This section does not limit the statutory rights of consumers concerning products that are defective or materially different from their description.

5. Orders and Formation of Contract

Products displayed on the website constitute an invitation to place an order and not a binding offer from KLJ Trading.

By placing an order, you submit an offer to purchase the products included in your order.

An automated order acknowledgement confirms that we have received your order. It does not necessarily mean that the order has been finally accepted.

A binding purchase agreement is formed when we expressly confirm acceptance, dispatch the order or otherwise begin fulfilling it.

We reserve the right to reject or cancel an order where, for example:

• The product is unavailable

• The listed price or product information contains an obvious error

• Payment cannot be authorised

• We cannot reasonably deliver to the supplied address

• The order appears fraudulent or unlawful

• The customer has previously materially breached an agreement with us

• Export controls, sanctions or other legal restrictions prevent the sale

• We have reasonable grounds to believe the product may be used unlawfully or unsafely

If payment has already been collected for an order we do not accept, the amount paid will be refunded.

Please review your order carefully before submitting it. Once processing has begun, we may not be able to change or cancel it.

6. Prices, VAT and Payment

Prices are displayed in the currency selected or shown in the online store.

Unless clearly stated otherwise, prices displayed to consumers include applicable VAT where legally required.

Prices shown to logged-in or approved business customers may be displayed excluding VAT where this is clearly indicated.

The final price, including applicable taxes and shipping charges, will be shown before the order is submitted.

Customers outside Denmark may be responsible for local VAT, sales tax, customs duties, import fees, brokerage charges or other charges imposed by authorities or carriers.

For destinations outside the European Union, orders may be delivered subject to import duties and taxes payable by the recipient unless otherwise expressly stated at checkout.

KLJ Trading does not control these charges and cannot guarantee their amount.

Payment must be made using one of the payment methods available at checkout.

You confirm that you are authorised to use the selected payment method and that the payment information provided is accurate.

We may delay processing or dispatch until payment has been authorised or received.

Prices, discounts and promotions may change without notice. The applicable price is normally the price displayed when the order is placed, subject to correction of obvious errors.

7. Availability and Quantity

All products are subject to availability.

Our inventory includes unique products and products with limited quantities. Occasionally, a product may be sold through another channel before our online inventory has been updated.

If an ordered product is unavailable, we will contact you and refund the amount paid for that product.

We may limit the quantity available to an individual customer, company, address, country or geographic area where reasonably necessary.

8. Shipping and Delivery

Orders are shipped to the delivery address supplied by the customer.

Estimated dispatch and delivery times are provided for guidance only and are not guaranteed unless we have expressly agreed to a specific deadline in writing.

Delivery may be delayed by carriers, customs authorities, severe weather, industrial action, war, government restrictions, supply interruptions or other circumstances outside our reasonable control.

The customer is responsible for providing a complete and accurate delivery address and any information reasonably required for delivery.

Additional costs resulting from an incorrect address, refused delivery, failed delivery attempt or failure to collect a package may be charged to the customer where permitted by law.

Consumers

For consumers, the risk of accidental loss or damage generally remains with KLJ Trading until the product has been physically delivered to the consumer or to a person designated by the consumer.

Where the consumer independently arranges a carrier that was not offered by KLJ Trading, the risk may pass when the product is handed to that carrier, subject to applicable law.

Business Customers

For business customers, risk passes to the customer when the shipment is handed over to the carrier, unless otherwise agreed in writing.

Ownership of the products remains with KLJ Trading until full payment has been received, to the extent permitted by applicable law.

Business customers must inspect shipments promptly upon delivery and report visible transport damage, shortages or incorrect products without undue delay.

9. Customs, Export Controls and Sanctions

The customer is responsible for ensuring that products may lawfully be imported, purchased, possessed and used in the destination country.

Products may be subject to Danish, European Union, United States or other applicable export-control and sanctions legislation.

We may request information about the end user, destination or intended use before accepting or fulfilling an order.

We may refuse, suspend or cancel an order where we reasonably believe that completing the transaction may violate export controls, sanctions, embargoes or other applicable laws.

The customer must not resell, export, re-export, transfer or use products in violation of applicable export-control or sanctions legislation.

10. Returns and Right of Withdrawal

Returns are governed by our separate Return and Refund Policy, which forms part of these Terms.

KLJ Trading offers an extended 30-day return-request period subject to the conditions stated in the Return and Refund Policy.

Consumers within the European Union also have a statutory right to withdraw from most distance purchases within 14 days of receiving the goods.

The statutory right of withdrawal applies only to consumers and not to business customers.

Business returns require prior approval and may be subject to a restocking fee as described in the Return and Refund Policy.

Customers must contact us before returning an item. Unauthorised returns may be refused.

The Return and Refund Policy does not limit mandatory consumer rights.

11. Defective Products and Consumer Rights

Consumers have the statutory rights provided by applicable consumer-protection legislation, including the legal right to make a claim regarding defects existing at the time of delivery.

For consumer purchases governed by Danish law, the statutory complaint period is generally two years from delivery.

Depending on the circumstances and applicable law, a consumer may be entitled to repair, replacement, a price reduction or cancellation of the purchase.

These rights are separate from any commercial warranty or voluntary return policy.

The statutory complaint right does not cover faults or damage caused after delivery by, for example:

• Incorrect installation or wiring

• Incorrect voltage or power supply

• Improper programming or configuration

• Incompatible equipment

• Accident, misuse or neglect

• Unauthorised repair or modification

• Normal wear and tear

• Failure to follow manufacturer instructions

• Operation outside the product’s specified limits

Business customers receive only the warranty expressly stated in the product listing, invoice or separate written agreement, subject to mandatory law.

Unless expressly stated otherwise, used industrial products sold to business customers are not supplied with a separate commercial warranty.

12. Used, Discontinued and New-Old-Stock Products

The customer acknowledges that used products may show normal signs of previous use, installation, removal, storage or handling.

New-old-stock products may be unused but may have been manufactured or stored for an extended period. Packaging may be aged, marked, damaged or previously opened.

The fact that a product is discontinued, obsolete or no longer supported by its manufacturer does not by itself constitute a defect.

Unless expressly stated otherwise, KLJ Trading does not guarantee that manufacturers will continue to provide spare parts, software, firmware, licences, documentation, technical support or compatibility with current systems.

Manufacturer warranties may have expired, may not be transferable or may not apply to products sold through KLJ Trading.

Any specific testing performed by us will be stated in the product listing. A statement such as “tested”, “working” or “power tested” relates only to the testing described or reasonably implied by the listing and does not guarantee suitability for every possible application.

13. Products Sold for Parts or Repair

Products explicitly described as “for parts”, “not working”, “defective”, “untested”, “as-is” or similar are sold on the basis of the condition disclosed in the listing.

Such products may have additional unknown faults and may be incomplete.

Business customers purchasing these products accept that they are intended for repair, spare parts, testing or similar purposes and are not guaranteed to function.

This provision does not exclude liability where a product is materially different from its description or where liability cannot legally be excluded.

14. Limitation of Liability for Business Customers

This section applies only to business customers.

To the fullest extent permitted by law, KLJ Trading is not liable for indirect or consequential loss, including:

• Loss of profit or revenue

• Loss of production

• Operational interruption or downtime

• Loss of contracts or business opportunities

• Loss or corruption of data

• Costs of removing or reinstalling equipment

• Costs of substitute products

• Claims made against the customer by third parties

KLJ Trading’s total liability arising from an individual order shall not exceed the amount paid for the product giving rise to the claim, except where liability cannot legally be limited or excluded.

KLJ Trading is not responsible for verifying that a product is suitable, approved or certified for the customer’s machinery, system, process or intended use.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

15. Intellectual Property

The website and its contents, including text, product photographs, graphics, logos, layout and original product descriptions, are owned by or licensed to KLJ Trading and are protected by applicable intellectual-property law.

You may use the website for lawful personal or internal business purposes.

You must not reproduce, republish, distribute, scrape, systematically extract, sell or commercially exploit website content without our prior written permission.

Manufacturer names, product names, model numbers, logos and trademarks displayed on the website belong to their respective owners.

Their use is solely for identifying and describing the products offered for sale and does not imply that KLJ Trading is an authorised distributor, representative or affiliate of the relevant manufacturer unless expressly stated.

16. Third-Party Services and Links

The website may contain links to or integrations with third-party websites, payment providers, shipping carriers, applications or other services.

We are not responsible for the availability, security, accuracy or content of third-party services.

Your use of third-party services may be subject to separate terms and privacy policies issued by those third parties.

17. Relationship With Shopify

KLJ Trading’s online store is powered by Shopify, which provides the e-commerce platform used to operate the website.

All purchases made through the store are made directly between the customer and KLJ Trading.

Shopify is not the seller of the products and is not responsible for product descriptions, fulfilment, delivery, returns, defects or disputes relating to purchases from KLJ Trading.

Nothing in this section limits any rights a customer may have directly against Shopify under applicable law or under a separate agreement with Shopify.

18. Privacy and Personal Data

Our collection and processing of personal data are governed by our Privacy Policy.

Because the website is hosted by Shopify, certain personal data may also be processed by Shopify and by service providers involved in payments, hosting, analytics, fraud prevention, delivery and order fulfilment.

Please read our Privacy Policy for further information about how personal data is collected, used, stored and shared.

19. Reviews and Other Submitted Content

Where you submit a review, comment, photograph, suggestion or other content to us, you confirm that:

• You have the right to submit the content

• The content is accurate to the best of your knowledge

• The content does not infringe the rights of another person

• The content is not unlawful, misleading, abusive or defamatory

• The content does not contain malware or harmful code

You grant KLJ Trading a non-exclusive, worldwide, royalty-free licence to use, reproduce, translate, adapt and display the submitted content for operating and promoting our business and services.

We may remove content that we reasonably believe is unlawful, misleading, irrelevant or in violation of these Terms.

20. Errors and Corrections

The website may occasionally contain typographical errors, incorrect prices, inaccurate specifications, incorrect stock information or other omissions.

We reserve the right to correct such errors and update information.

Where an error is obvious or materially affects an order, we may contact the customer to offer fulfilment on the corrected terms or cancel the affected order and issue a refund.

21. Prohibited Uses

You must not use the website:

• For unlawful, fraudulent or malicious purposes

• To violate applicable laws or regulations

• To infringe intellectual-property or privacy rights

• To transmit viruses, malware or harmful code

• To attempt unauthorised access to accounts, systems or data

• To interfere with the operation or security of the website

• To submit false or misleading information

• To impersonate another person or organisation

• To collect personal data without lawful authority

• To conduct abusive, threatening or harassing behaviour

• To use automated systems in a way that places an unreasonable burden on the website

Reasonable use of ordinary search engines, browser tools and purchasing agents is not prohibited provided such use is lawful, transparent and does not interfere with the website.

We may suspend or terminate access where we reasonably believe these Terms have been violated.

22. Force Majeure

KLJ Trading is not liable for delay or failure to perform obligations caused by circumstances outside our reasonable control.

Such circumstances may include natural disasters, fire, flooding, war, terrorism, civil unrest, epidemics, cyberattacks, power failures, government action, sanctions, customs delays, labour disputes, carrier disruption or failure of essential suppliers or service providers.

Where such circumstances occur, our obligations will be suspended for the duration of the event.

This section does not limit mandatory consumer rights.

23. Termination

We may suspend or terminate access to the website or a customer account where reasonably necessary, including in cases of fraud, misuse, unlawful activity, security risk or material breach of these Terms.

Termination does not affect rights or obligations that arose before termination, including outstanding payment obligations.

Provisions which by their nature should continue after termination will remain in effect.

24. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect.

The affected provision will be applied or modified to the minimum extent necessary to make it valid and enforceable where permitted by law.

25. No Waiver

A failure or delay by KLJ Trading in exercising a right under these Terms does not constitute a waiver of that right.

26. Assignment

The customer may not transfer rights or obligations under an order without our prior written consent.

We may transfer our rights and obligations as part of a sale, restructuring or transfer of the business, provided this does not reduce the mandatory rights of consumers.

27. Governing Law and Disputes

These Terms and purchases made through the website are governed by Danish law, without prejudice to any mandatory consumer-protection rules applicable in the consumer’s country of residence.

Disputes involving business customers shall be subject to the jurisdiction of the Danish courts, with the District Court covering KLJ Trading’s registered place of business as the agreed court of first instance, unless mandatory law requires otherwise.

Consumers may have the right to bring proceedings in the courts of their country of residence under applicable European Union law.

We encourage customers to contact us first so that we can attempt to resolve any disagreement directly.

28. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, website, services or applicable legal requirements.

The version applicable to an order is generally the version in effect when the order was placed.

Material changes will be communicated where required by law.

The current version will always be available on this page.
